Terms of Service
Effective date: August 5, 2026
These Terms govern access to Synoptic's website and business software service. “Synoptic” means Synoptic Data Ltd., Israeli company 517379954. “Customer” means the business accepting these Terms. The person accepting represents they can bind Customer.
By creating an account or using the Service, Customer agrees to these Terms and the Privacy Policy. A signed Order Form controls conflicting commercial terms. A signed data-processing agreement controls its subject matter.
1. Accounts
Customer must provide accurate account information. Customer is responsible for:
- Authorized users and their activity.
- Protecting credentials and API keys.
- Assigning appropriate permissions.
- Promptly reporting suspected unauthorized access.
Accounts are for business users aged 18 or older.
2. Service and Early Access
Synoptic connects authorized business systems and provides search, analysis, answers, reports, alerts, and related features.
The Service is early access. Features may be incomplete, inaccurate, changed, or discontinued. Availability may be interrupted. No service level applies unless stated in a signed Order Form.
Customer is responsible for its systems, internet access, and configurations.
3. Customer Data
“Customer Data” means information Customer or its users upload, submit, connect, or generate through the Service. Customer retains its rights in Customer Data.
Customer grants Synoptic and its subprocessors a limited, non-exclusive license to host, copy, process, transmit, and display Customer Data solely to:
- Provide and support the Service.
- Secure and troubleshoot the Service.
- Follow Customer instructions.
- Comply with law.
Synoptic will not use Customer Data to train generalized AI models.
Customer represents it has all required rights, notices, and consents for Customer Data and Synoptic's processing. Privacy, retention, export, and deletion are described in the Privacy Policy and any applicable data-processing agreement.
4. Connected Services
Customer may authorize Synoptic to access third-party services. Customer instructs Synoptic to access those services using the permissions and settings Customer selects.
Third-party services remain governed by their own terms. Synoptic does not control their availability, data, APIs, permissions, or policy changes.
Disconnecting stops future synchronization. Previously indexed content is handled under the Privacy Policy. Customer remains responsible for its third-party accounts and permissions.
5. Acceptable Use
Customer must not:
- Break laws or third-party rights.
- Process data it lacks authority to use.
- Upload malware or harmful code.
- Access another customer's data.
- Circumvent authentication, access controls, or usage limits.
- Probe or test security without written permission.
- Reverse engineer the Service except where law forbids restriction.
- Resell or sublicense the Service without permission.
- Use the Service for surveillance, unlawful discrimination, or harmful activity.
- Submit payment-card data, health records, government identifiers, or similarly regulated data unless Synoptic agrees in writing.
6. AI Outputs
The Service uses probabilistic systems. Outputs may be inaccurate, incomplete, outdated, biased, or unsuitable. Citations may not support every interpretation.
Customer must independently verify outputs before acting. Outputs are not legal, financial, medical, employment, compliance, or other professional advice. Customer must not use them as the sole basis for material, safety-critical, legal, credit, or personnel decisions.
Customer is responsible for its use of outputs and confirming necessary rights before publication or distribution.
7. Fees
Fees, billing terms, subscription periods, and taxes are stated in an Order Form. Free or evaluation access may be terminated under Section 10.
Synoptic will not begin charging for free access without Customer's agreement to applicable fees. Except where an Order Form or law states otherwise, paid fees are non-refundable.
8. Confidentiality
Each party may receive non-public information identified as confidential or reasonably understood to be confidential. The receiving party will:
- Use it only for this relationship.
- Protect it using reasonable care.
- Disclose it only to personnel and providers who need it and owe confidentiality duties.
These duties exclude information independently developed, lawfully received without restriction, publicly available without breach, or already known without restriction.
Required legal disclosures are permitted. Where lawful, the receiving party will provide advance notice. These duties continue for three years after disclosure. Trade-secret duties continue while the information remains a trade secret.
9. Intellectual Property and Feedback
Synoptic and its licensors own the Service, software, documentation, designs, and related technology. Except for the limited right to use the Service, no rights are transferred.
Customer may provide feedback. Customer grants Synoptic a perpetual, worldwide, royalty-free right to use feedback without restriction or attribution. Third-party services and content remain owned by their respective owners.
10. Suspension and Termination
Synoptic may suspend access where it reasonably believes:
- Customer breached these Terms.
- Use creates a security or legal risk.
- Suspension is required by law or a provider.
- Fees are overdue.
- Continued operation may harm the Service or others.
Synoptic will provide notice where reasonably practicable. Either party may end free early-access use at any time.
Paid subscriptions end as stated in the Order Form. Either party may terminate for material breach not cured within 14 days after written notice, or immediately for an unlawful or incurable breach.
After termination, Customer's access ends. Customer should export needed data beforehand. Synoptic handles retained data under the Privacy Policy and applicable agreements. Sections intended to survive termination remain effective.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.”
Synoptic disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Synoptic does not warrant outputs, connected services, or third-party content.
Nothing excludes a warranty that cannot legally be excluded.
12. Limitation of Liability
To the maximum extent permitted by law, Synoptic is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, business opportunities, or data.
Synoptic's total aggregate liability arising from the Service or these Terms will not exceed:
- Fees Customer paid for the Service during the preceding 12 months; or
- USD $500 if Customer paid no fees.
These limits apply regardless of legal theory and even if a remedy fails its essential purpose. Nothing limits liability that applicable law does not permit limiting.
13. Indemnity
Customer will defend and indemnify Synoptic and its personnel against third-party claims arising from:
- Customer Data infringing rights or violating law.
- Customer's unlawful use of the Service.
- Customer's material breach of Section 5.
Synoptic will provide prompt notice and reasonable cooperation. Customer may control the defense. Customer may not settle by admitting Synoptic's fault or imposing obligations on Synoptic without consent.
14. Governing Law
Israeli law governs these Terms, without regard to conflict-of-law rules. The competent courts located in Tel Aviv-Jaffa, Israel have exclusive jurisdiction.
15. Changes
Synoptic may update these Terms prospectively. Material changes will receive reasonable advance notice through email, the Service, or the website. Urgent legal or security changes may apply sooner.
Continued use after the effective date means acceptance. Customer may stop using the Service before then. Changes do not override a signed Order Form unless agreed in writing.
16. General
Neither party is liable for delays beyond its reasonable control. Neither party may assign these Terms without consent, except Synoptic may assign them during a merger, reorganization, financing, or sale of relevant assets.
The parties are independent contractors. Failure to enforce a term is not a waiver. Invalid terms will be limited or removed while the remainder continues.
These Terms, applicable Order Forms, and referenced agreements form the complete agreement about the Service.
